In order to provide you with better services, please read the Minecho AI User Service Agreement (hereinafter referred to as the "Agreement") carefully. Before you start to use Minecho AI Software and related services, please make sure you read and fully understand this Agreement. In particular, you should read and fully understand the terms and conditions relating to the exclusion or limitation of liability, the licensing of rights and the use of information, the application of laws and the dispute resolution clauses. Unless you fully accept this Agreement in its entirety, you do not have the right to register, log in, use (hereinafter collectively referred to as the "Use") Minecho AI Software, or use the Minecho AI Services in any way, or to obtain any services provided by Minecho AI Software (collectively referred to as the "Services" in this Agreement). "). If you use the MiCor Intelligent Software and related services, you are deemed to have fully understood this Agreement and undertake to be bound by it as a party to this Agreement. If you have any questions, comments or suggestions regarding the contents of this Agreement, you may contact us through the customer service system.

I. Scope of application

1. This is an agreement between you and Hangzhou Guangfan Technology Co., Ltd (hereinafter referred to as the "Company" or "we") in relation to your registration, logging in and use of the Mi Ke Intelligent Software, and access to the related services provided by the Mi Ke Intelligent Software. The Company reserves the right, at its sole discretion, to arrange for or designate its affiliates, controlled companies, successor companies or third party companies recognized by the Company to continue to operate the MiC Smart Software in accordance with the needs of the MiC Smart Software and related services or operations. In addition, certain services under this Agreement may be provided to you by the Company's affiliates, controlled companies, successor companies or third party companies recognized by the Company. By knowing and agreeing to accept the content of the relevant services, you are deemed to accept that the relevant rights and obligations are also bound by this Agreement.

2. "Users" means all users, including natural persons, legal persons and other organizations, who directly or indirectly acquire and use the Minecho AI Software and related services. In this Agreement, it is referred to as "User" or "You".

3. Minecho AI means the client application legally owned and operated by the Company and labeled as Minecho AI. The Company has the right to unilaterally change the name of the application (including but not limited to name change, addition, etc.).

4. The contents of this Agreement also include the relevant agreements, rules and other contents (including the "Minecho AI Privacy Policy") about the Minecho AI Software and related services that the Company has already released and may continue to release in the future. Once the aforesaid contents are officially released, the Company will remind you to read them in a timely manner by appropriate means (website announcement, system notification, etc.). The aforementioned agreements and rules constitute an integral part of this Agreement, and you shall comply with the same.

II. Tips for using the service

1. In order to better enhance user experience and services, the Company will provide software updates or changes from time to time (including but not limited to software modifications, upgrades, functional enhancements, development of new services, software replacement, etc.). In order to ensure the safety of Minecho AI software and related services, and to enhance user services, after the software and related services are updated or some of the services are updated, where possible, the Company will prompt the users in a way including but not limited to system prompts, announcements, station letters, etc., and the users have the right to choose to accept the updated version or service, if the users do not accept, some of the functions will be restricted or can not continue to use.

2. Unless expressly authorized in advance in writing by the Company, you may not engage in any unauthorized access to or use of the Minecho AI Software and related services in any form, including, but not limited to, adapting, copying and distributing, vertical searching, mirroring, or trading.

3. You understand that your use of the MiC Smart Software and related services requires you to prepare your own terminal equipment (e.g., computers, cell phones, etc.) in connection with the Software and related services, and that once you open the MiC Smart Software or access the related websites on your terminal equipment, you are deemed to be using the MiC Smart Software and related services. In order to fully realize the full functions of MiC Smart, you may need to connect your terminal equipment to the Internet, and you understand that you will be responsible for the necessary fees (such as traffic fees, Internet access fees, etc.).

4. Company grants you a personal, revocable, non-transferable, non-exclusive and non-commercial right to lawfully use the Minecho AI Software and related services. All other rights not expressly authorized by this Agreement are reserved by the Company, and you must obtain the Company's written permission to exercise such rights, and the Company's failure to exercise any of the foregoing rights does not constitute a waiver of such rights.

5. You do not need to register to start using the Minecho AI Software and related services. At the same time, you also understand that in order to enable you to better use the Minecho AI Software and related services, and to protect your account security, certain functions and / or some individual services require you to provide real identity information in accordance with relevant state laws and regulations, real-name registration and log in before you can use.

6. If you find any content that infringes your rights in the software and website of Minecho AI, Please contact us via e-mail (minecho#guangfan.tech), and provide you with preliminary evidence of your rights, and the company will promptly deal with your complaint in accordance with local laws. If the content you publish on MiCor Intelligence is infringed by the relevant right holder's complaint, You can also submit a counter-notification and relevant proof of rights by e-mail, come to the company to make a complaint, and the company will also deal with your complaint in a timely manner in accordance with local laws and regulations.

III. Account-related explanations

1. Minecho AI provides users with a registration channel, and users have the right to choose a legal combination of characters as their account number and set their own password that meets security requirements. The account number and password set by the user are the credentials used by the user to log in and use the Minecho AI software and related services as a registered user.

2. You understand and promise that the account you set up shall not violate national laws and regulations and the relevant rules of the Company, and that there shall be no illegal and undesirable information in the registration information and other personal information such as your account name, avatar and profile, and that you shall not open an account in the name of another person without the permission of the other person (including, but not limited to, fraudulent use of another person's name, name, font size, avatar, etc., in such a manner as to cause confusion), and that you shall not maliciously You shall not maliciously register Minecho AI accounts (including but not limited to frequent registration, batch registration of accounts and other behaviors). You shall comply with relevant laws and regulations in the process of account registration and use, and shall not engage in any behavior that infringes upon the interests of the State, harms the rights and interests of other citizens, or is detrimental to social morals and ethics. The company has the right to review the registration information submitted by you.

3. Your registered account in Minecho AI is for your personal use only. Without the written consent of the Company, it is prohibited to give, borrow, rent, transfer, sell or otherwise license the account to others in any form. If the Company discovers or has reasonable grounds to believe that the user is not the initial registrant of the account, in order to protect the security of the account, the Company has the right to immediately suspend or terminate the provision of services to the registered account, or cancel the account.

4. You are responsible for maintaining the security and confidentiality of your personal account and password, and you shall be fully liable for the activities you engage in under the name of your registered account, including but not limited to any data modification, speech publication, payment and other operational behaviors that you carry out on Minecho. You shall attach great importance to the confidentiality of your account and password, and shall not disclose your account and password to others under any circumstances. You shall immediately notify the Company of any unauthorized use of your account or any other breach of security.

5. If you lose your account or forget your password, you may request the recovery of your account or password in a timely manner by following the Company's complaint procedures. You understand and recognize that the Company's password recovery mechanism only needs to identify the consistency between the information provided in the complaint form and the information recorded in the system, and is unable to identify whether the complainant is a genuine user of the account. The Company reminds you that you should keep your account number and password in a safe place. When you have finished using your account, you should log out safely. If your account is stolen or your password is lost due to your own reasons such as improper storage or other irresistible factors, you shall bear the responsibility by yourself.

6. When registering, using and managing your account, you should ensure the authenticity of the identity information you fill in when registering for an account, please use true, accurate, legal and valid relevant identification materials and necessary information (including but not limited to you such as address, contact phone number, contact address, etc.) when registering for and managing your account. In accordance with national laws and regulations, in order to use the software and some of the functions of the service, you need to fill in the real identity information, please complete the real-name authentication in accordance with relevant laws and regulations, and pay attention to the timely updating of the above relevant information. If you submit materials or provide information that is inaccurate, untrue, irregular, illegal or the Company has reason to suspect that it is incorrect, untrue or illegal, the Company has the right to refuse to provide you with the relevant services or you may not be able to use the Minecho AI Software and the relevant services or some of the functions in the process of using them are restricted.

7. In addition to registering for a Minecho AI account, you may also choose to register for and log in to use the Minecho AI Software and related services by authorizing the use of your legally owned user accounts, including, but not limited to, the Company's and/or its affiliates' user accounts for other software, as well as user accounts for third-party software or platforms registered in your real name, unless such third-party software or platforms have restrictions or prohibitions in this regard. When you log in to use the aforementioned existing account, you should ensure that the corresponding account has been registered with a real name and agree to apply the relevant agreements in this Agreement.

8. You understand and agree that, in addition to logging in and using the MiCor Smart Software and related services, you may also log in and use other software and services provided by the Company, its affiliates or other partners with your MiCor Smart account. If you log in and use the aforementioned services with your MiCor Smart account, you shall also be bound by the User Agreement and other terms and conditions of the other software and service providers.

9. If your account is stolen or lost due to malicious attacks by other people or your own reasons or other uncontrollable factors, you will be responsible for it and the company will not be held liable.

10. You understand that, in order to fully utilize the account resources, the Company reserves the right to withdraw your account at any time if you do not log in for the first time in a timely manner after registration or if you do not log in for more than six consecutive months to use an idle account. If your account is withdrawn, you may not be able to log in and use the Minecho AI Software and related services through your previously held account, and any personalized settings and usage records saved under your account will not be restored. Before recovering your account, the Company will notify you in an appropriate manner. If you do not log in and use your account within a certain period of time after receiving the relevant notification, the Company will recover your account. If your account is recovered, you may log in and use the MiCor Intelligent Software and related services by registering a new account. If your account is revoked, you may register for a new account to log in and use the Minecho AI Software and related services.

IV. Protection of users' personal information

1. We attach great importance to the protection of users' information, and the protection of users' personal information is one of the Company's basic principles. The Company, together with the user, is committed to the protection of the user's personal information (i.e., information that can identify the user independently or in combination with other information).

2. In the process of using Minecho AI Software and related services, you may need to provide your personal information (including but not limited to your name, phone number location information, device information, etc.) so that the Company can provide you with better services and corresponding technical support. You understand and agree that the Company has the right to collect, use (including commercial cooperation use), store and share your personal information in compliance with laws and regulations, this Agreement and the Privacy Policy, and at the same time, we will protect your right to browse, modify, delete the relevant personal information and withdraw consent in accordance with the law.

3. You may view and modify the personally identifiable information you submit at any time. You understand and agree that you may not be able to modify the initial registration information and other authentication information you provided during registration for security and identification (e.g., account or password recovery appeal services, etc.) reasons.

4. The Company will apply security technologies and other security measures that are compatible with Minecho AI Software and related services, and establish a comprehensive management system to protect your personal information and prevent your information from being improperly used or from being used or leaked by unauthorized access.

5. The Company will not disclose your personal information to any company, organization or individual outside the Company without your consent, except in the following cases:

7. Considering that the Minecho AI Software and related services may include or link to information or other services (including websites) provided by third parties. You are aware and understand that third parties operating such services may require you to provide your personal information, and the Company especially reminds you of the need to carefully read the user agreements and privacy policies of such third parties as well as other relevant terms and conditions, to protect your personal information, and to provide it to such third parties only when necessary. This Agreement (as well as other agreements and rules related to Minecho AI Software and related services (including, but not limited to, the Minecho AI Privacy Policy) does not apply to services provided by any third party, and the Company shall not be liable for any consequences that may arise from any third party's use of personal information provided by you. For more information on the protection of personal information of the users, please refer to the Minecho AI Privacy Policy.

V. Code of conduct for users

1. use any plug-ins, extras, systems or third-party tools that are not authorized or permitted by the Company to interfere with, disrupt, modify or impose other shadows on the normal operation of the Minecho AI Software and related services;

2. Performing any act that jeopardizes the security of a computer network with or against the Minecho AI Software and related services, including but not limited to.

3. reverse engineer, reverse assemble, compile, or otherwise attempt to discover the source code of the Minecho AI Software;

4. Maliciously registering Minecho AI accounts, including but not limited to frequent and bulk registration of accounts.

5. Violation of laws and regulations, this Agreement, the relevant rules of the Company and other violations of the legitimate rights and interests of others. In any case, if the company has reason to believe that any of your behavior violates or may violate the above agreement, the company can independently judge and deal with, and at any time have the right to terminate the provision of services to the user without any prior notice, and to pursue the relevant responsibility.

VI. Data utilization norms

1. Do not submit tasks in bad faith, including but not limited to the following ways: repeatedly submitting the same task, submitting meaningless tasks to consume cloud resources;

2. Cloud resources (audio, video) etc. within the Software may not be used for third party purposes unrelated to the Software;

3. You shall not make any changes of any kind to the source pages of the Minecho AI Software and related services, including but not limited to the linking entrances to the home page of the Minecho AI Software and related services, nor shall you obstruct the display of the source pages of the Minecho AI Software and related services in any way by blocking, inserting, or popping up windows;

4. Safe, effective and strict measures should be taken to prevent the information content of the Minecho AI Software and related services from being illegally accessed by third parties in any form, including but not limited to "spider" programs;

5. The content of the data in question may not be used for purposes outside the scope of the Company's written authorization, be sold and commercially used in any way, or be divulged to third parties, made available to third parties or allowed to be used by third parties in any way.

VII. Fees and invoices

1. You agree that: Lightsail Technology reserves the right to adjust the charges of this service according to the market quotation, operating costs and other factors.

2. Service Fees: LightFan Technology will confirm the corresponding fees in the order related interface for the use of the service request submitted by you before you make the payment; LightFan Technology has the right to adjust the fees of the service according to the factors such as audio and video (category, duration, quality), translation (number of words in the text, demand, content) and at the same time give pricing explanations, which will be confirmed and paid by you through the relevant pages of Minecho. The point card package is network goods and virtual goods, using the way of charging first after the service, the cost of the point card package is the price of the network goods corresponding to the relevant services you purchased, rather than prepayment or deposits, deposits, savings cards, etc., and the point card package is not transferable or refundable once opened (except for major defects of the point card-related services that make it impossible for you to use it at all). The use of this service does not accept any form of bargaining, if you have questions about the cost of using the service, you can contact customer service in the relevant interface of the service to inquire.

3. Invoice matters: you have the right to use the Service after the completion of the Service, through the way provided by Lightsail Technology to Lightsail Technology for the use of the Service paid fees equivalent to the amount of the official invoice; Lightsail Technology will be in the date of the application for two working days to issue electronic invoices and sent to the appropriate e-mail address, in case of holidays or other force majeure factors delayed.

VIII. Treatment of non-compliance

1. In response to your violation of this Agreement or other service policies, the Company has the right to independently judge and, depending on the circumstances, take measures such as stopping the transmission of information, audio, video and other content, short-term restriction of some or all of the functions of the account until the permanent closure of the account. The company has the right to announce the results of the treatment, and has the right to decide whether to resume use according to the actual situation. The company will keep records of any suspected violations of laws and regulations and any suspected crimes, and will report to the competent authorities and cooperate with them in their investigations in accordance with the law. The company has the right not to return the deleted content.

2. If you violate the provisions of this Agreement or other service policies and cause a third party to file a complaint or litigation claim, you shall bear full legal responsibility. If the Company, its affiliates, controlling companies or successor companies compensate any third party or are penalized by the state authorities due to your illegal or breach of contract, you shall also fully compensate the Company, its affiliates, controlling companies or successor companies for all the losses suffered as a result.

3. The Company respects and protects the intellectual property rights, the right to reputation, the right to name, the right to privacy and other legal rights and interests of legal persons and citizens. You guarantee that the text, video, audio, links, etc. uploaded when using Minecho AI Software and related services do not infringe any third party's intellectual property rights, right of reputation, right of name, right of privacy and other rights and legitimate interests. Otherwise, the Company has the right to remove the allegedly infringing content upon receipt of a notice from the right holder or related parties. You shall bear full legal responsibility for all claims made by the third party; if the Company, its affiliates, control companies or successor companies suffer losses (including but not limited to economic and goodwill losses) due to your infringing behavior, you shall also fully compensate the Company, its affiliates, control companies or successor companies for all losses suffered.

IX. Termination of services

1. You agree, in the light sail science and technology found or received others report or complaint you violate this agreement, light sail science and technology has the right to take according to the nature of your behavior, including but not limited to suspension or termination of this service, pursue legal responsibility and other measures.

2. You fully understand and agree that Lightsail has the right to deal with the violation of the relevant laws and regulations or the provisions of this Agreement according to reasonable judgment, to take appropriate legal action against you for your violation of laws and regulations, and to save the relevant information in accordance with laws and regulations to report to the relevant departments, etc., and that you shall bear all the legal liabilities arising therefrom alone.

3. Lightsail Technology has the right to terminate this Agreement by giving you [30] days' notice in advance; when Lightsail Technology terminates this Agreement with the paid and unused point cards and other rights, Lightsail Technology will provide you with compensation based on the corresponding proportion to the extent of the paid amount of the order.

4. You agree that, upon termination of this Agreement, Lightsail Technology shall have no obligation to retain for you any information in or relating to your original account.

X. Intellectual property rights

1. The intellectual property rights of the contents (including but not limited to software, technology, programs, web pages, text, pictures, images, audio, video, charts, layouts, electronic documents, etc.) provided by the Company in the Minecho Software and the related services belong to the Company or its legal licensors. The copyrights, patents and other intellectual property rights of the software on which the Company provides the Service belong to the Company. Without the permission of the Company, no one is allowed to use (including but not limited to monitoring, copying, distributing, displaying, mirroring, uploading, downloading the contents of the Minecho AI Software and the related services through any robots, spiders, and other programs or devices) without authorization from the Company.

2. You understand and agree that any text, images, video, audio, etc. that you upload or post when using the MiC Smart Software and related services are either original or legally licensed to you (including sublicense). The intellectual property rights of any content uploaded or posted by you through MiC Smart belongs to you or the original copyright owner.

3. You know, understand and agree that the content (including but not limited to text, images, video, audio, musical compositions, dialogues, etc. included in the video and/or audio) uploaded by you through the Minecho AI Publishing grants to the Company and its affiliates, controlling companies, and successor companies, a worldwide, royalty-free, non-exclusive, sub-licensable (through multiple tiers), right (including but not limited to the rights of reproduction, translation, compilation, information network dissemination, adaptation, production of derivative works, etc.) to use the content, including but not limited to current or other websites, applications, products or end devices. (including, but not limited to, the right to reproduce, translate, compile, distribute, adapt, create derivative works, etc.), worldwide, free of charge, non-exclusive, sublicensable (through multiple tiers), including, but not limited to, reproduction, translation, compilation, distribution, adaptation, creation of derivative works, etc., on the current or any other website, application, product, or device. You hereby acknowledge and agree that the grant of the foregoing rights includes the right and license to use and otherwise exploit the Content (in whole or in part) in any promotions, advertising, marketing and/or publicity relating to the Content, Minecho AI, the Company and/or the Company's brands. For the avoidance of doubt, you agree that the grant of the foregoing rights includes the right and license to use, reproduce and display your personal image, likeness, name, trademarked service mark, brand, name, logo, and company mark (if any), and any other branding, marketing, or promotional assets that you own or are licensed to use and embed in the Content.

4. You acknowledge and agree to authorize the Company to protect your intellectual property rights on behalf of the Company in its own name or by commissioning a professional third party to infringe on your uploaded content, including but not limited to: monitoring infringement, sending a letter of protection, litigation or arbitration, mediation, reconciliation, etc., and the Company shall have the right to make decisions on the protection of the rights of the matter and to implement them independently.

5. The Company provides technical support for the development and operation of Minecho AI and enjoys all rights to all data and information generated during the development and operation of Minecho AI software and related services.

6. Under no circumstances should you use any of the Company's trademarks, service marks, trade names, domain names, website names, or other distinctive branding features (collectively, the "Marks"), including, but not limited to, MiTAC Intelligence, for your own personal use. Without the prior written consent of the Company, you may not display, use, or apply for registration of a trademark or domain name, either alone or in combination with any of the foregoing marks, nor may you engage in any conduct that expressly or impliedly entitles you to display, use, or otherwise deal with any of the foregoing marks. If you cause damage to the Company or others by using the Company's trademarks or logos in violation of this Agreement, you shall bear full legal responsibility.

XI. Disclaimer

1. You understand and agree that the Minecho AI Software and related services may be subject to a variety of factors, and that the Company does not warrant (including, but not limited to).

2. For suspected loans or other property-related network information, account passwords, advertising or promotional information, users should be cautious and make their own judgments, based on the aforementioned reasons you thus suffered profits, business reputation, loss of data or other tangible or intangible losses, the company does not assume any direct, indirect, incidental, special, consequential or punitive damages liability.

3. The user understands and agrees that, in the process of using Minecho AI software and related services, may encounter force majeure and other factors (force majeure refers to the unforeseeable can not be overcome and can not be avoided by objective events), including but not limited to, government action, natural disasters, network reasons, hacker attacks, war or any other similar events. When force majeure occurs, the company will endeavor to repair in a timely manner at the first time, but due to force majeure caused by the user's losses, the user agrees that the company is not responsible.

4. The Company obtains the right to deal with illegal and unauthorized contents according to this Agreement, which does not constitute an obligation or commitment of the Company, and the Company cannot guarantee the timely detection of illegal acts or the corresponding treatment.

5. User expressly understands and agrees that the Company provides no warranties or conditions of any kind, express or implied, with respect to the Services, including, but not limited to, merchantability, fitness for a particular purpose, etc. The Company will not be liable for any loss or damage arising out of the use of the Software or the Services. Your use of the Software and related services under this Agreement is at your own risk.

6. The user clearly understands and agrees that this agreement is to ensure compliance with national laws and regulations, safeguard public order and morals, and protect the legitimate rights and interests of others, the company does its best to make judgments in accordance with relevant laws and regulations within the scope of its capabilities, but does not guarantee that the company's judgments are completely consistent with the judiciary, administrative organs, such as the consequences arising from the user has understood and agreed to bear the consequences.

XII. Other

1. This service is limited to use in mainland China.

2. In order to provide you with a better service, the products and services of Minecho AI will be updated and changed from time to time, and we may revise this Policy from time to time, and such revisions will form part of this Policy. However, we will not reduce your rights under this Policy without your express consent.

3. After the update of this Policy, we will publish the updated version on the official website of Minecho AI, and remind you again to read the updated Privacy Policy through pop-up windows or other means, so that you can keep abreast of the latest version of this Policy. If you do not agree with this Policy, or disagree with the contents of the modifications or updates to this Policy, you may choose to stop using Minecho AI's products and services or cancel your account. However, please be aware that your behavior and activities prior to the cancellation of your account and the cessation of the use of the Services are still subject to this Policy.

4. For major changes, we will also provide more prominent notice (we will indicate the specific changes to this policy by means including, but not limited to, email, text message, or special alerts on the viewing page).

5. If there are changes, updates, or additions to the above provisions, the old version that they replace shall automatically expire as soon as such changes, updates, or additions become effective.
